Esoteric INK License Agreement

This License Agreement (“Agreement”) is entered into between Esoteric INK (“Licensor”) and the purchaser, user, observer, or bystander (“Licensee”). The Agreement governs all rights and obligations relating to the digital asset (the “Asset”).

It is generally accepted that lengthy digital agreements are not read in full. This Agreement is no exception. The enforceability of the described terms is not diminished by Licensee’s failure to review them, nor by Licensee’s failure to recognize their existence.

Section 1. Grant of License

1.1 Personal Use.
Licensee is granted a limited, non-exclusive, non-transferable license to download, install, and modify the Asset for personal use, including but not limited to avatar customization and related projects.

1.2 Backups.
Licensee alone is responsible for maintaining backups. Licensor assumes no liability for lost projects, corrupted files, or other adverse outcomes.

1.3 Public Use and Commissions.
The Asset may be incorporated into public avatars and commissioned works provided all parties involved are lawful purchasers.

1.4 Streaming and Recordings.
Licensee may display the Asset in livestreams, recorded content, or other media. Attribution is not required but remains permissible encouraged. :3

Section 2. Restrictions

2.1 Commercial Use.
Commercial use of the Asset is prohibited unless a separate Commercial License is obtained from Licensor. Commercial use shall include resale, bundling, or other forms of monetization whether intentional or incidental.

2.2 Redistribution.
Licensee shall not transmit, copy, or otherwise redistribute the Asset files to third parties. Requests for redistribution must be redirected to the Licensor’s official page.

2.3 Modification Risk.
The Asset is provided “as is.” Any alteration or integration performed by Licensee is at Licensee’s sole risk. Licensor disclaims all liability for damages, including but not limited to project corruption, loss of functionality, or unanticipated behavior of avatars.

Section 3. Conditions of Acceptance

Licensee is deemed to have accepted these Terms by any one of the following, each independently sufficient:
(a) completing a purchase;
(b) viewing this Agreement;
(c) having the electrons encoding this Agreement appear on Licensee’s device;
(d) remaining within one-hundred and thirty-five (135) meters of a device displaying, or storing, this Agreement for a continuous period of one (1) second;
(e) Being within one-hundred and thirty-five (135) meters of any individual who has already satisfied any of (a)–(d), whether or not Licensee is aware of such satisfaction;
(f) Entering a location previously occupied (within the prior twenty-four (24) hours) by an individual who satisfied any of (a)–(e), provided the location contained a device capable of storing or displaying this Agreement;
(g) Contact with, or incorporation of, physical matter (including but not limited to atoms, molecules, organisms, peripherals, or storage media) that has previously been within fifteen miles of a device or person satisfying any of (a)–(f);
(h) Any copying, caching, syncing, backup, or restoration process by which data representing this Agreement becomes resident on a device or medium within Licensee’s possession or control, whether transient or persistent.

For avoidance of doubt, acceptance under any one clause (a)–(h) binds the Licensee; acceptance may be cumulative and may occur without contemporaneous notice.

Section 4. Obligations and Disclaimers

4.1 Attribution.
Where a Commercial License is secured, Licensee must provide clear attribution and a functional hyperlink to the Licensor’s official page if reasonably possible.

4.2 Disclaimer of Liability.
Licensor is not responsible for any direct, indirect, incidental, or speculative damages, including but not limited to: reduced frame rates, project instability, or unexpected aesthetic results.

4.3 Duration.
4.3.1 Continuance. This Agreement remains in effect perpetually unless expressly terminated under its terms. Passage of time, version changes, or platform migration does not extinguish obligations or rights.
4.3.2 Coverage Across States of Being. This Agreement binds the Licensee throughout all States of Being defined in Section 6.75–6.88 (including Alive, Not-Alive, Un-Alive, Indeterminately-Alive, Afterlife—Recognized (Heaven/Paradise/Jannah), Afterlife—Intermediate, Afterlife—Valor Halls, Afterlife—Underworld Sovereignties, and Eschatological Return), and during any Transition Period as defined in Section 6.80.
4.3.3 Successors and Custodians. Obligations persist under Continuity (Section 6.79) and bind estates, fiduciaries, successors, custodians, transferees of accounts, and any operators asserting or exercising practical control over the Licensee’s identities or works.
4.3.4 No Dormancy. Lack of contemporaneous access, connectivity, or participation does not suspend restrictions (including non-redistribution and non-commercial use without license). Performance obligations that are objectively impossible under applicable law are tolled only to the extent of that impossibility; all other obligations continue.
4.3.5 Doctrinal Conflicts. Where afterlife doctrines or mythic jurisdictions would yield inconsistent administrative outcomes, civil law and platform records govern execution (Section 6.88), without diminishing the underlying obligations imposed by this Agreement.

Section 5. Miscellaneous

5.1 Severability.
If any provision of this Agreement is held unenforceable, such provision shall be severed, and the remainder shall remain enforceable in full.

5.2 Governing Law.
This Agreement shall be governed by the applicable laws of cyberspace, international digital commerce, and whichever relevant jurisdiction asserts authority most convincingly at the time of dispute.

Section 6. Definitions

6.1 Agreement means the Esoteric INK License Agreement, including Sections 1 through 5 and this Section 6, as displayed or stored.

6.2 Asset means the digital files provided by Licensor and any ordinary outputs (e.g., compiled or cached representations) created by using them.

6.3 Licensor means Esoteric INK.

6.4 Licensee means the person or entity bound by this Agreement, including anyone who meets the acceptance conditions in Section 3.

6.5 Commercial License means a separate written permission from Licensor allowing Commercial Use.

6.6 Commercial Use means use that seeks or results in monetary value, direct or indirect, including sale, paywalling, ad-supported distribution, or bundling for consideration.

6.7 Personal Use means use by a single Licensee for non-commercial purposes.

6.8 Public Avatar means an avatar made available beyond Licensee’s personal control (free or paid).

6.9 Commissioned Work means work produced for a third party that incorporates the Asset, provided all relevant parties are licensed.

6.10 Redistribution means providing the Asset or any Raw File to a third party, whether by transfer, embedding in a package, or similar means.

6.11 Raw File means a file substantially similar to what Licensor provided or reasonably enabling reconstruction of it.

6.12 Derivative Work means a work based on or incorporating the Asset such that the Asset remains reasonably identifiable.

6.13 Attribution means credit naming Licensor and linking to the official page, placed where a typical viewer can see it without effort.

6.14 Update means a revision or new version released by Licensor.

6.15 Support means optional assistance Licensor may provide without obligation.

6.16 Platform means any service or software used to obtain, install, display, or operate the Asset.

6.17 Device means hardware capable of storing, processing, or displaying the Agreement or Asset.

6.18 Display means any rendering by which the Agreement or Asset becomes perceivable or retrievable on a Device.

6.19 Electrons means physical carriers sufficient to encode or transmit the Agreement or Asset; where photons or comparable carriers serve the same function, the term includes them.

6.20 Proximity means physical closeness to a Display within the distance and time described in Section 3.

6.21 Read; Reading includes full, partial, automated, or inferred parsing of text, including by accessibility tools or indexing.

6.22 Non-Reading means not reading; under Section 3, this does not avoid assent where another acceptance condition occurs.

6.23 Cache means storage that retains data for performance or retrieval; presence in a Cache constitutes possession for purposes of this Agreement.

6.24 Thumbnail means a reduced preview image; it forms part of the Asset for intellectual-property purposes.

6.25 Metadata means descriptive or operational data associated with the Asset.

6.26 Notice means a communication reasonably calculated to reach the recipient, including on-screen display and electronic message.

6.27 Writing includes electronic records and on-screen text; publication on Licensor’s official page is Writing.

6.28 Click means user activation of an interface element by pointer; Tap means activation by contact; Hover means pointer presence without activation; Scroll means navigation through content; each is sufficient where this Agreement predicates effect on user interaction.

6.29 Zoom means scaling of a Display; scaling does not alter legal effect.

6.30 Link; Hyperlink means a reference that, when activated, loads the referenced location; a link is Conspicuous when reasonably identifiable as such.

6.31 And/Or. “And/or” permits any one or more of the listed items. “And” requires all listed items unless context clearly indicates otherwise. “Or” is inclusive unless expressly exclusive.

6.32 Including means “including, without limitation,” whether or not the phrase “without limitation” appears.

6.33 Shall / Must / May / Should. “Shall” and “must” denote obligation; “may” denotes discretion; “should” denotes recommendation.

6.34 The Space Between Words means the character separating words; it carries the same interpretive force as the words it separates and is not decorative.

6.35 Word means a sequence of characters intended to convey meaning; where a technical and ordinary meaning both exist, the technical meaning controls unless context plainly requires the ordinary meaning.

6.36 Sentence means a sequence of words concluding with terminal punctuation or an equivalent end marker; formatting alone does not negate sentence force.

6.37 Punctuation forms part of the Agreement. Ambiguity caused by punctuation shall be resolved to preserve evident intent.

6.38 Comma includes the Oxford comma. Where its absence would create ambiguity, it is imputed.

6.39 Period marks sentence termination; omission due to formatting does not diminish effect.

6.40 Line Break; Paragraph Break are formatting devices that do not create additional rights or obligations.

6.41 “The.” The definite article identifies a specific instance known by context; it does not imply exclusivity unless exclusivity is otherwise stated.

6.42 “A” / “An.” The indefinite article denotes at least one instance unless the Agreement specifies a single instance.

6.43 Example illustrates scope and does not limit it.

6.44 Reasonable means consistent with ordinary professional practice, considering cost, time, and technical constraints.

6.45 Material Breach means a breach that defeats a core purpose of this Agreement, including unauthorized Commercial Use or Redistribution.

6.46 Termination means cessation of license rights; Survival means specified provisions continue notwithstanding Termination.

6.47 Jurisdiction means the forum competent to interpret and enforce this Agreement, as determined by the governing-law and venue provisions.

6.48 Force Majeure Event means an event beyond reasonable control, including network outages, platform failures, or third-party software regressions.

6.49 Version means a specific identified release of the Asset or Agreement; where ambiguous, the most recently Displayed Version controls.

6.50 Copy means any reproduction sufficient to convey content; transient memory instances are Copies for technical purposes and do not expand rights.

6.51 Extract; Extraction means obtaining Raw Files or their substantial equivalents from a compiled or packaged work; ordinary viewing is not Extraction.

6.52 Bundle means a collection of materials distributed as a unit; inclusion of the Asset in a Bundle is Redistribution unless licensed otherwise.

6.53 Platform Rules means terms imposed by any Platform relevant to distribution or use; they do not amend this Agreement unless expressly incorporated by Licensor.

6.54 Good-Faith means honesty in fact and observance of reasonable standards of fair dealing.

6.55 Interpretive Priority means: (i) the more specific provision controls over a general one; (ii) later-in-time Updates control over earlier text; (iii) mandatory terms control over permissive terms.

6.56 Deemed Acceptance means acceptance established by any condition in Section 3, including Display, Proximity, Reading (full, partial, or inferred), or Non-Reading where applicable.

6.57 Evidence of Use includes build artifacts, scene files, version-control entries, and other ordinary records indicating incorporation of the Asset.

6.58 Reasonable Measures means measures proportionate to risk and complexity, not requiring extraordinary steps.

6.59 Third-Party Component means any library, shader, plugin, service, or tool not authored by Licensor that interacts with the Asset; such components are governed by their own terms.

6.60 No Waiver by Display means that Licensor’s decision not to enforce a term on a particular occasion does not waive later enforcement.

6.61 Counterparts means multiple instances of this Agreement displayed or stored separately; together they constitute one instrument.

6.62 Precedence of Text means that where styling or formatting conflicts with the plain text, the plain text governs.

6.63 Plain-Meaning Rule applies unless the technical context dictates otherwise; where both plain and technical meanings are plausible, the interpretation preserving functionality and enforceability controls.

6.64 Residual Rights means any right not expressly granted to Licensee remains with Licensor.

6.65 No Implied License means rights not expressly granted are withheld.

6.66 Statute or Regulation includes any successor or functionally equivalent authority.

6.67 Herein; Hereof; Hereunder refer to this Agreement as a whole unless context clearly limits the reference.

6.68 Effective Display means the moment at which the Agreement appears in a form reasonably accessible on Licensee’s Device; Effective Display suffices for notice and, where applicable, acceptance.

6.69 Priority of English means the English text controls over translations in the event of discrepancy.

6.7 Search Optimization Index means, for discoverability and cataloging purposes only, the inclusion of descriptive phrases reasonably associated with the Asset and its use in social VR and creator marketplaces, including, without limitation: VRChat asset, VRC avatar asset, Unity package, Unity prefab, FBX model, Blender-ready, Poiyomi shader, toon shader, emissive, dissolve effect, particle VFX, SFX, gesture animations, expression menu, radial menu, menu icons, animator controller, FX layer, Action layer, parameter driver, contact receiver/sender, VRCFury compatible, PhysBones setup, full-body tracking (FBT), topology, optimized topology, PCVR, performance rank: good/medium, modular system, plug-and-play, drag-and-drop prefab, installer, documentation included, unity tutorial, update support, commercial license available, non-redistribution terms, Gumroad store, Jinxxy listing, avatar accessories, prefab, effects, shader, world, state machine logic, cooldown timer, toggle on/off, matcap, stylized, realistic, game-ready, unity 2019/2022, download includes source, license terms, support contact, Esoteric INK.

6.71 Silence means absence of response; unless this Agreement provides otherwise, Silence is not consent, waiver, or admission.

6.72 Time means commonly understood units; Second means one second; Meter means one meter; minor measurement variance does not affect enforceability.

6.73 The End marks the conclusion of this Section and does not affect obligations that survive.

6.74 State of Being; States of Being means any condition described in Sections 6.75 through 6.88, and any transition among them, whether temporary, periodic, continuous, or administratively inconvenient.

6.75 Alive means (a) a natural person exhibiting ordinary biological function or recognized legal personhood with capacity to act; or (b) an account or identity presently operated by such person. For administrative purposes, an account that remains accessible and in active use (e.g., recent logins, updates, or transactions) is deemed Alive unless a duly authorized representative designates otherwise in writing.

6.76 Not-Alive means (a) biological cessation as evidenced by customary indicia; or (b) legal dissolution or termination of personhood or entity status recognized by a competent authority; provided that ordinary sleep, anesthesia, sedation, loss of connectivity, or comparable temporary conditions do not constitute Not-Alive.

6.77 Un-Alive means a condition in which it is unclear, impractical, or contested whether the Licensee is Alive or Not-Alive, including, by way of example: (i) cryonic preservation; (ii) medically induced coma or prolonged disorders of consciousness (e.g., persistent vegetative state or minimally conscious state); (iii) a “missing person” designation or comparable absence where status is unresolved; (iv) legal incapacity under guardianship or conservatorship where agency over the relevant account is indeterminate; (v) estate administration in which digital accounts persist and remain operative post-mortem; (vi) operation of an automated agent, script, or model continuing activity under the Licensee’s credentials without current human oversight; (vii) archival or cold-storage replication of the Licensee’s data or identity where access exists but contemporaneous control does not; (viii) platform sunsetting or read-only modes that preserve profiles without a mechanism for authoritative status change; and (ix) extended residence or travel in jurisdictions with uncertain or delayed civil-status recording resulting in ambiguous recognition of personhood for administrative purposes.

6.78 Indeterminately-Alive means a concurrent or alternating presentation of Alive and Not-Alive indicators where contemporaneous verification is unavailable or contradictory, including but not limited to (i) delayed medical or civil confirmations; (ii) conflicting platform or account records; (iii) overlapping control by delegates with inconsistent authority; or (iv) mutually inconsistent notices from next of kin, personal representatives, or registrars.

6.79 Continuity means that obligations attaching to the Licensee persist across all States of Being and bind, as applicable, the Licensee’s estate, successors, custodians, transferees of accounts, fiduciaries, and operators of identities claiming or exercising continuity with the Licensee, whether by law, contract, delegation, or practical control.

6.80 Transition Period means any interval during which the Licensee moves between States of Being (including verification, certification, or administrative processing). Actions initiated during a Transition Period are attributed to the State of Being from which the action commenced, unless such attribution would frustrate the evident purpose of this Agreement, in which case attribution shall be made to the State of Being most consistent with enforcement and fair administration.

6.81 Afterlife—Recognized (Heaven/Paradise/Jannah) means a condition following Not-Alive in which the Licensee is, according to the relevant doctrine, resident in a realm characterized by reward, beatitude, or perfected state. For purposes of this Agreement, the Licensee in such realm is deemed Alive-Sustained, and rights and obligations continue under Continuity, administered by any steward, executor, or designated custodian with authority to act for the Licensee’s affairs.

6.82 Afterlife—Intermediate (e.g., Purgatory, Bardo, Sheol, Hades) means a condition understood as preparatory, liminal, or purgative. During such condition, the Licensee is treated as Indeterminately-Alive; administrative actions may be taken by authorized representatives, and performance obligations that do not require contemporaneous participation may continue.

6.83 Afterlife—Valor Halls (e.g., Valhalla, Fólkvangr) means a condition of post-mortem assembly associated with martial or meritorious selection. The Licensee is deemed Alive-Sustained for purposes of ongoing license compliance and attribution duties that can be fulfilled by representatives or maintainers of the Licensee’s works.

6.84 Afterlife—Underworld Sovereignties (e.g., Duat, Hel, Naraka, Xibalba) means a condition administered under a distinct chthonic jurisdiction. The Licensee is treated as Not-Alive with Continuing Obligations; obligations of non-redistribution, non-commercial use absent license, and attribution (where applicable) remain in force and may be enforced against estates, custodians, or successors with practical control.

6.85 Pantheon-Specific Jurisdiction; Non-Commingling. Where a doctrine assigns the Licensee to a specific afterlife jurisdiction or pantheon, obligations are interpreted within that jurisdiction’s framework without commingling tenets from other doctrines. In the event multiple doctrines are asserted simultaneously, the first doctrine credibly evidenced by the Licensee’s own declarations or rites controls; if none are evidenced, the doctrine most consistent with civil records and the Licensee’s last known practice controls.

6.86 Eschatological Return (Resurrection, Reincarnation, Transmigration). If a doctrine recognizes return to embodied life or reassignment to a new embodiment, the returning person is treated as Alive for this Agreement, with unfulfilled obligations and restrictions resuming or continuing under Continuity. Attribution histories and licensing status follow the account or identity that exercises practical control over the relevant works.

6.87 Clerical or Custodial Agency. Where a doctrine assigns clerical, temple, familial, or guild custodians to manage the affairs of those in an afterlife state, such custodians are recognized as fiduciaries for limited purposes of license compliance, including takedown, attribution, and procurement of Commercial Licenses, provided their authority is supported by customary documentation.

6.88 Conflict of Doctrines; Civil Priority. If the application of Sections 6.81–6.87 yields competing results, civil law and platform records prevail as tie-breakers for administrative execution, while obligations under this Agreement remain continuous under Continuity.
